Please read these Terms and Conditions ("Terms") carefully before enrolling in and accessing any online courses ("Courses") offered by Intuitive Health Institute Limited ("we," "us," or "our"). By enrolling in or accessing our Courses, you ("you" or "Student") agree to be bound by these Terms.

1. Enrollment and Access:

• Eligibility: By enrolling in a Course, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a contract.
• Account Creation: You may be required to create an account to access the Courses. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary.  
• Course Access: Upon successful enrollment and payment, you will be granted access to the Course(s) either immediately if it is self-learning or from its specified launch date if the course has a live component. The duration of access may vary depending on the Course and will be specified at the time of enrollment. We reserve the right to modify or terminate access to a Course at any time for violations of these Terms or for other legitimate business reasons.

2. Course Content and Intellectual Property:

• Ownership: All content included in the Courses, such as text, graphics, videos, audio, software, logos, and other materials ("Course Content"), is owned by or licensed to Intuitive Health Institute Limited and is protected by copyright, trademark, and other intellectual property laws.  
• Limited License: Upon enrollment, you are granted a non-exclusive, non-transferable, limited license to access and use the Course Content solely for your personal, educational purposes in connection with the specific Course you have enrolled in.
• Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Course Content without our prior written consent. You may not use the Course Content for any commercial purpose.  
• Respect for Intellectual Property: You agree to respect all copyright and other proprietary notices contained in the Course Content.

3. Payment and Fees:

• Fees: The fees for each Course will be clearly displayed on our website or at the point of enrollment. We reserve the right to change our fees at any time, but changes will not affect Courses for which you have already paid.

• Payment plans: Once a payment plan has begun, it must be completed in full. If there is any disruption to payments, access to the course will be revoked. Access can be reinstated once payments resume. 

• Payment Methods: Payment for Courses may be made through the payment methods specified on our website. You agree to provide accurate and complete payment information.  
• Taxes: You are responsible for any applicable sales, use, or other taxes associated with your purchase of Courses.
• Refunds: Our refund policy is as follows:
• No refunds will be given after fourteen (14) days from the date of enrollment (purchase).
• Regardless of the enrollment date, no refunds will be given if twenty percent (20%) or more of the existing Course content has been accessed or completed by the Student. Our system's tracking of progress will be the determining factor in this regard.
• Any refund requests must be submitted in writing to [email protected]  within the applicable timeframe.
• We reserve the right to refuse a refund if we suspect abuse of our refund policy.

4. Student Conduct:

• Respectful Communication: You agree to communicate respectfully with instructors and other students in any forums, discussion boards, or other interactive features of the Courses. You will not engage in any harassing, abusive, discriminatory, or offensive behavior.
• Academic Integrity: You are expected to maintain academic integrity in all aspects of your participation in the Courses. You will not engage in plagiarism, cheating, or any other form of academic dishonesty.
• Prohibited Activities: You agree not to:
• Share your account credentials with others.
• Attempt to access restricted areas of our website or Course platform.
• Use the Courses for any illegal or unauthorized purpose.
• Interfere with the operation of our website or Course platform.
• Transmit any viruses, worms, or other malicious code.
• Consequences of Misconduct: We reserve the right to suspend or terminate your access to the Courses without refund if we determine, in our sole discretion, that you have violated these Terms or engaged in any inappropriate conduct.

5. Disclaimer of Warranties:

• No Guarantees: We make no guarantees or warranties regarding the outcomes or results you may achieve by taking our Courses. The success of your learning depends on your individual effort and application of the material.
• "As Is" Basis: The Courses and Course Content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.  
• Accuracy of Information: While we strive to provide accurate and up-to-date information in our Courses, we do not warrant the accuracy, completeness, or reliability of any Course Content.  

6. Limitation of Liability:

• Exclusion of Damages: To the maximum extent permitted by applicable law, Intuitive Health Institute Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your enrollment in or access to our Courses, even if we have been advised of the possibility of such damages.  
• Maximum Liability: Our total liability to you for any claim arising out of or relating to these Terms or your enrollment in or access to our Courses shall not exceed the total amount you paid to us for the specific Course in question.

7. Indemnification:

You agree to indemnify, defend, and hold harmless Intuitive Health Institute Limited and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your use of the Courses, or your violation of any law or the rights of a third party.  

8. Termination:

• Termination by Us: We may terminate these Terms and your access to the Courses at any time, with or without cause, upon notice to you.
• Termination by You: You may terminate your enrollment in a Course at any time. However, no refunds will be provided unless explicitly stated in our refund policy.
• Effect of Termination: Upon termination, your right to access the Courses and Course Content will immediately cease.

9. Governing Law and Dispute Resolution:

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law principles.  
• Dispute Resolution: Any dispute arising out of or relating to these Terms or your enrollment in or access to our Courses shall be resolved through negotiation in Dublin, Ireland. You agree to submit to the exclusive jurisdiction of the courts located in Dublin, Ireland for the resolution of any such disputes.  

10. Modifications to these Terms:

We reserve the right to modify these Terms at any time by posting the updated Terms on our website. Your continued enrollment in or access to our Courses after the posting of revised Terms constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically for any changes.  

11. Entire Agreement:

These Terms constitute the entire agreement between you and Intuitive Health Institute Limited with respect to the Courses and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.

12. Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
